Master Services Agreement (MSA) - Base

1. Term & Commitment
All services provided under the AUSNI Managed Services Agreement require a minimum commitment of 12 months, commencing on the Service Start Date. Services must be prepaid in full before activation.

2. Payment Terms
• Prepayment Requirement: Fees for the full 12-month term are due upfront.
• Non-Refundability: All payments are final upon service activation. No refunds or credits will be issued for partial use, early termination, or unused services.
• Renewal: Services auto-renew for successive 12-month terms unless terminated in writing 30 days prior to renewal.

3. Non-Payment & Remedies
• Service Restrictions: If payment is not received by the due date, AUSNI reserves the right to immediate service restrictions (e.g., reduced bandwidth, suspended features, or limited access).
• Full Shutdown: If payment remains delinquent for 14 days after the due date, AUSNI may fully terminate all services without further notice.
• Reactivation: Post-shutdown reactivation requires payment of all outstanding fees plus a $1,500 reinstatement fee.

4. Termination and cancellation
• Early Termination by Client:
Client may terminate this Agreement early by providing written notice.
Early termination will result in cancellation fees equal to 100% of the remaining fees owed for the full Agreement term.
• Termination for Non-Payment:
AUSNI may terminate services immediately for unpaid invoices per Section 3.

5. Service Activation
Services are enabled only after confirmed payment. By approving activation, the Client agrees:
"I acknowledge that all fees are final and non-refundable once services are enabled."
